PTR Client Search & Placement Agreement

Simple terms. Mutual commitments. No surprises.
1. HOW WE WORK
PTR provides contingent, non-exclusive recruiting services.
Client may recruit independently or work with other recruiting firms.
PTR decides whom to source and recommend. Client decides whom to interview, offer, and hire.
There is no recruiting fee unless Client hires a candidate introduced by PTR.
A hire includes employment, consulting, or contractor engagement.
2. PLACEMENT FEE
When Client hires a candidate introduced by PTR, the placement fee is:
20% of the candidate’s first-year base salary.
The fee is paid in six equal monthly payments, beginning after the candidate starts work.
Base salary does not include benefits, equity, discretionary bonuses, commissions, or other variable compensation.
3. CANDIDATES YOU ALREADY KNOW
PTR does not expect a fee for someone Client was already actively recruiting before PTR introduced that person.
When PTR sends a candidate’s name, Client has five business days to let PTR know if that candidate is already in an active hiring process and provide reasonable documentation.
An old application, resume in a database, previous networking conversation, or general familiarity does not by itself constitute an active hiring process.
If Client hires a candidate PTR introduced within 12 months of the introduction, the placement fee applies unless the candidate falls under the exception above.
4. SIX-MONTH PLACEMENT PROTECTION
PTR stands behind every placement for six months.
If the candidate’s employment ends during the first six months, PTR will conduct a replacement search for the same or a substantially similar position at no additional recruiting fee.
If PTR does not successfully replace the candidate within six months of beginning the replacement search, PTR will refund the applicable placement fee through equal monthly payments.
The protection does not apply if:-
Client eliminates the position;

the candidate is included in a broader layoff or reduction in force; or
-
Client materially changes the position, compensation, location, or employment terms after the hire.
If the candidate simply does not work out, the protection applies.
5. OUR COMMITMENTS TO EACH OTHER
PTR agrees to:-
Represent candidates and Client accurately and professionally.

Treat Client information with reasonable care.

Not actively recruit Client’s employees for other opportunities while PTR is actively working with Client.

Communicate material candidate information honestly.
Client agrees to:

Provide accurate information about roles, compensation, and hiring requirements.

Treat candidates introduced by PTR professionally.

Tell PTR promptly when an introduced candidate is hired.

Honor the agreed placement fee when a PTR introduction results in a hire.
Neither party is required to continue the relationship indefinitely. Either party may end the working relationship with 15 days’ written notice.
Ending the relationship does not eliminate fees associated with candidates PTR introduced before termination.
6. THE BASICS
This agreement represents the understanding between PTR and Client regarding recruiting and placement services.
Any changes must be agreed to in writing by both parties.
Georgia law governs this agreement.
Except for gross negligence or intentional misconduct, PTR’s liability related to a placement will not exceed the recruiting fee paid for that placement.-
